What is DIR 8 ?

Format of FORM DIR-8 which is for Intimation by Director of disqualification or non-disqualification  and also intimation of companies in which he was director in last three years Pursuant to Section 164(2) and rule 14(1) of Companies (Appointment and Qualification of Directors) Rules, 2014 .

Who and when has to file?

Every director of a company is required to have a DIN mandatorily. Director’s DIN is required to keep active by complying with the provisions relating to it.

Rule 14 of the Companies (Appointment and Qualification of Directors) Rules 2014 states that DIR-8 to be provided by a director before his appointment or re-appointment.

Rule 14 is clear. DIR-8 to be given only before appointment or re-appointment. Unlike MBP-1, every financial year.

Rule 14 also gives reference to the disclosure about disqualification as per Section 164 of The Companies Act, 2013 and the only document which ascertains whether the director is disqualified or not is DIR-8.

Before the appointment of Director, he has to intimate his disqualification or non-disqualification  and also intimation of companies in which he was director in last three years pursuant to Section 164(2) and rule 14(1) of Companies (Appointment and Qualification of Directors) Rules, 2014

The following details needed for DIR-8

  • Details of the Company – CIN, Name, Address and Paid up Capital
  • Details of the Director
    • Name
    • Residential Status
    • Name of Company/LLP in which he/she is a director
    • Date of appointment
    • Date of cessation
    • Declaration that he/she is free from any disqualification for being director of the company

The master data of Company and Director as per the records with ROC is available on the MCA Portal.
